Payment Terms
For any paid services, you agree to provide current, complete, and accurate purchase and account information. You agree to promptly update your account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed.
Prices for our services are subject to change without notice. We reserve the right to modify or discontinue the Services without notice at any time. We shall not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.
Service Delivery & Acceptance
We strive to deliver all services as described in the applicable agreement between you and Spotiance. Upon delivery, you will have a reasonable opportunity to review and accept the deliverables. If you do not notify us of any issues within the timeframe specified in your service agreement, the deliverables will be deemed accepted.
Intellectual Property
Site Content
The Site and its original content, features, and functionality are owned by Spotiance and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of the material on our Site without our prior written consent.
Client Content & Deliverables
Upon full payment for the services, and unless otherwise specified in a service agreement, you will own all rights to the deliverables specifically created for you. You retain all rights to any content, materials, or data you provide to us for use in connection with the services. You grant us a perpetual, worldwide, non-exclusive license to use, reproduce, and display portions of the deliverables for promotional purposes, such as in our portfolio or case studies, unless otherwise agreed in writing.
Limitation of Liability
In no event shall Spotiance, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Site or Services
- Any conduct or content of any third party on the Site
- Any content obtained from the Site
- Unauthorized access, use, or alteration of your transmissions or content
The foregoing does not affect any liability which cannot be excluded or limited under applicable law.
Termination

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Services, and supersede and replace any prior agreements we might have between us regarding the Services.
